1. Binding Agreement
By accessing or using NoteShare (the "Service") you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, Acceptable Use Policy, and DMCA & IP Policy (collectively, the "Policies"). These Terms create a legally enforceable contract between you and NoteShare ("NoteShare," "we," "our," or "us").
2. Eligibility & Accounts
Age β You must be 13 years or older; if you are under 18 you represent that a parent or guardian has reviewed and agrees to these Terms.
Registration β You must provide accurate account information and keep credentials confidential.
Responsibility β You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized use.
3. User Content & License
Site Purpose β NoteShare is designed for students to share their notes, study materials, and other helpful educational content with fellow students. We encourage the sharing of legitimate educational resources that can benefit the student community.
Your Ownership β You retain any intellectual-property rights you hold in content you upload ("User Content").
License to NoteShare β You grant NoteShare a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content solely to operate, improve, and promote the Service.
Permissions β You may upload only content that (i) you created, (ii) is in the public domain, or (iii) you have express written permission to share.
Institutional Restrictions β You may not upload content that you are contractually or institutionally forbidden to disclose (e.g., unpublished exams protected by an honor code).
Content Moderation β We do not condone users sharing content that is not meant to be shared. If users upload inappropriate content, they will be notified and the content will be removed. We reserve the right to take down any content that violates our policies or applicable laws.
Syllabus Removal β If you do not want your syllabus or other course materials to be shared on our platform, please contact us at officialnoteshare@gmail.com to request removal. We will promptly review and remove the content upon verification of your request.
Indemnification β You agree to indemnify and hold NoteShare harmless from claims arising out of your User Content.
4. Acceptable Use
You may not use the Service to:
- Post copyrighted works without authorization or fair-use justification;
- Request, upload, or distribute private or unreleased exam materials or answer keys;
- Harass, defame, or threaten others;
- Upload malware, spam, or engage in any activity that interferes with the Service.
Violations may result in removal of content, suspension, or termination.
5. DMCA & IP Policy
We comply with the U.S. Digital Millennium Copyright Act. If you believe material hosted on NoteShare infringes your copyright, please submit a notice as described in our DMCA & IP Policy. We will respond to valid notices and may remove or disable access to the material.
6. Subscription Terms
Plans β Free and Premium (see Pricing).
Billing & Renewal β Subscriptions auto-renew; you may cancel at any time before the renewal date to avoid further charges.
Refunds β Except where required by law, payments are non-refundable ( unless you have a valid reason and contact us ).
7. Disclaimers
No Warranty β The Service and all content are provided "as is" without warranties of any kind.
Educational Use Only β Content is for study and reference; it is not guaranteed accurate.
8. Limitation of Liability
To the fullest extent permitted by law, NoteShare's aggregate liability will not exceed the greater of (a) US $50 or (b) the amount you paid NoteShare in the twelve months preceding the claim.
9. Termination
We may suspend or terminate your account for violation of these Terms or Policies. You may delete your account at any time; certain provisions (e.g., license grants, disclaimers, limitation of liability) survive termination.
Account Deletion & Content β Deleting your account does not automatically delete content you previously uploaded (e.g., notes). If you wish to remove your content, please delete it manually before deleting your account. Remaining content may display your author name as "Deleted User."
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York.
